These Terms of Service (the “Terms”) are a binding agreement between you and SkewFlow LLC, a New Jersey limited liability company (“SkewFlow,” “we,” “us,” or “our”). They govern your access to and use of SkewFlow websites, applications, dashboards, APIs, alerts, data displays, analytics, content, and related services (collectively, the “Service”).
By creating an account, purchasing a subscription, clicking to accept these Terms, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility and Account Registration
You must be at least 18 years old and legally capable of entering into a binding contract. If you use the Service for an organization, you represent that you have authority to bind that organization.
You must provide accurate, current information and keep it updated. You are responsible for protecting your credentials and for activity under your account. Accounts are personal to the registered subscriber unless a business or enterprise plan expressly permits additional users. You may not share credentials or allow unauthorized simultaneous access.
You must promptly notify SkewFlow if you believe your account or credentials have been compromised.
2. Market-Data Subscriber Requirements
Certain real-time or licensed market data may require you to complete and accept a separate market-data subscriber agreement, certify whether you are a nonprofessional or professional subscriber, provide additional identifying information, or pay additional exchange or vendor fees. Those requirements are conditions of access to the applicable data.
Access to real-time OPRA market data is conditioned on maintaining a valid subscriber classification and all required OPRA, exchange, or vendor agreements. You must answer subscriber-classification and entitlement questions accurately and promptly update SkewFlow if your status changes. If renewed acceptance is required by OPRA, a data provider, contract, or applicable law, SkewFlow may suspend real-time access until the required acceptance is completed.
SkewFlow may suspend, delay, restrict, reclassify, or terminate market-data access when required by an exchange, data provider, applicable agreement, law, or regulation. If a separate exchange, OPRA, data-vendor, or subscriber agreement applies to particular market data, that agreement supplements these Terms and controls with respect to that market data to the extent of a conflict.
3. License and Permitted Use
Subject to these Terms and your plan entitlements, SkewFlow grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Service for your personal use or internal business use only.
Unless SkewFlow expressly authorizes otherwise in writing or through an applicable commercial/API plan, you may not:
- redistribute, republish, broadcast, resell, sublicense, or commercially exploit market data, analytics, alerts, screenshots intended as data substitutes, or other Service content;
- share account access, credentials, API keys, or licensed data with another person;
- scrape, crawl, spider, bulk-download, harvest, or use automated means to extract data except through an API expressly provided to you under your plan;
- circumvent rate limits, entitlements, delay controls, access controls, subscriber classifications, or other technical restrictions;
- reverse engineer, decompile, disassemble, or attempt to derive non-public source code, algorithms, models, workflows, or system architecture except to the extent such restriction is prohibited by law;
- use the Service or its non-public outputs to train, benchmark, replicate, or build a competing market-data or options-flow service without written permission; or
- use the Service in violation of securities laws, exchange rules, market-data licenses, intellectual-property rights, privacy rights, or other applicable law.
SkewFlow may monitor usage reasonably necessary to enforce entitlements, data-provider obligations, security controls, rate limits, and these Terms.
4. Market Data, Analytics, and Methodology
The Service may include observed market data, inferred classifications, reconstructed events, calculated values, model outputs, estimates, scores, historical statistics, and third-party data. Some information may be delayed, incomplete, corrected, revised, cancelled, stale, unavailable, or subject to vendor limitations.
SkewFlow distinguishes among observed, inferred, and modelled information. “Observed” information describes source market data received from a market-data source. “Inferred” information reflects SkewFlow’s interpretation or reconstruction of observed information. “Modelled” information is produced using mathematical, statistical, or other assumptions. Inferred and modelled information are not exchange-reported facts and should not be treated as such.
Labels such as execution side, directional lean, detected sweep, structure, unusual activity, gamma exposure, implied volatility, Greeks, walls, flip levels, rankings, scores, or similar analytics may be inferred or modelled rather than facts published by an exchange. SkewFlow may describe methodology and provenance in the Service, but no methodology eliminates market-data uncertainty.
SkewFlow may correct historical records or derived analytics when source data, cancellations, methodology, models, or vendor feeds are corrected or improved. Historical values may therefore differ from values previously displayed. Where practicable, material methodology changes may be versioned or effective-dated.
5. Not Investment Advice; No Brokerage or Fiduciary Relationship
SkewFlow is a software and market-data analytics service. SkewFlow is not a broker-dealer, investment adviser, commodity trading adviser, fiduciary, exchange, or trade-execution venue, and does not manage customer assets or execute trades.
The Service is for informational and educational purposes only. Nothing in the Service is an offer, solicitation, recommendation, endorsement, personalized investment recommendation, or guarantee regarding any security, option, strategy, transaction, or outcome. You are solely responsible for your investment and trading decisions.
Trading securities and options involves substantial risk, including the possible loss of all or more than the amount invested. Options may expire worthless, lose value rapidly, and involve leverage, liquidity, volatility, assignment, exercise, and settlement risks. Past performance and historical observations do not guarantee future results.
6. Subscriptions, Billing, Auto-Renewal, Cancellation, and Taxes
Paid plans may be offered on monthly, annual, or other recurring billing periods. By purchasing a recurring subscription, you authorize SkewFlow and its payment processor to charge the payment method on file at the beginning of each billing period until you cancel. The price, billing period, and material plan terms presented at checkout form part of your purchase.
Prices, features, plan names, data entitlements, and usage limits may change. Unless a different notice period is required by law, price changes apply no earlier than your next renewal after reasonable advance notice. Existing subscriptions may be subject to locked or grandfathered pricing when SkewFlow expressly provides it.
If you subscribed online, SkewFlow will provide an online method to initiate cancellation through the billing or account controls made available in the Service. Cancellation stops future renewal and, unless otherwise disclosed or required by law, takes effect at the end of the then-current paid billing period. Except as provided in the Refund Policy, you retain paid access through that period. Except as provided in the Refund Policy, fees already paid are non-refundable and are not prorated except where required by law or where SkewFlow expressly offers a refund, trial, promotion, or money-back policy. Additional details may be stated in SkewFlow’s Refund Policy, which is incorporated into these Terms by reference to the extent applicable to your purchase.
SkewFlow displays its standard subscription prices inclusive of applicable taxes charged as part of the advertised subscription price. Applicable taxes will not be added on top of those displayed prices at checkout.
Access to certain market data may be subject to additional eligibility requirements, subscriber classifications, licensing terms, or professional-subscriber fees. Any additional amount payable by a subscriber must be disclosed before the subscriber authorizes the charge.
Professional-subscriber fees, where applicable, are separate from standard subscription pricing unless expressly stated otherwise.
7. Free and Delayed Access
SkewFlow may offer free, delayed, limited, promotional, or trial access. Such access may have reduced symbols, features, history, alerts, exports, API capabilities, or market-data timeliness. Market data labeled delayed is intentionally delayed and must not be treated as real-time.
SkewFlow may modify or discontinue free features at any time, subject to applicable law and any express commitments made to you.
8. APIs, Exports, Alerts, and Automated Use
API access, exports, webhooks, alerts, and automated access are permitted only to the extent included in your plan and may be subject to separate limits or terms. An API key is a credential and must be protected like a password.
Unless your plan and applicable data licenses expressly allow redistribution, API and export access does not grant the right to redistribute raw, derived, delayed, or real-time market data to third parties. SkewFlow may throttle or suspend automated access that threatens reliability, violates licenses, or exceeds documented limits. SkewFlow may require separate API or commercial-data terms for advanced or commercial API access.
Alerts are informational conveniences and may be delayed, duplicated, missed, or unavailable because of network, provider, device, configuration, or system conditions. You should not rely on an alert as the sole basis for a time-sensitive trading decision.
9. User Content and Private Workspace Data
The Service may allow you to create watchlists, notes, journal entries, tags, saved events, trade records, alert configurations, or other content (“User Content”). As between you and SkewFlow, you retain ownership of your User Content.
You grant SkewFlow a limited license to host, store, process, reproduce, and transmit User Content only as reasonably necessary to provide, secure, maintain, support, and improve the Service, comply with law and market-data obligations, and enforce these Terms. You are responsible for ensuring that your User Content is lawful and that you have the rights necessary to submit it.
10. Intellectual Property
The Service, including its software, interfaces, branding, designs, documentation, original analytics, methodologies, compilations, and other SkewFlow-created materials, is owned by SkewFlow or its licensors and is protected by intellectual-property laws. Third-party market data and content remain the property of their respective owners and licensors.
No rights are granted except those expressly stated in these Terms. “SkewFlow” and associated names, marks, logos, and trade dress may not be used without permission.
11. Third-Party Services and Data Providers
The Service may depend on third-party exchanges, market-data vendors, cloud providers, payment processors, email providers, identity providers, and other services. Their outages, errors, licensing changes, or discontinued services may affect SkewFlow. Links or integrations with third-party services do not imply endorsement, and your use of third-party services may be governed by their own terms and privacy policies.
12. Availability, Changes, and Beta Features
SkewFlow may modify, add, remove, suspend, or discontinue features, data sets, methodologies, models, or integrations. We may perform maintenance and may experience outages or degraded service. We do not guarantee uninterrupted, error-free, or continuously available service.
Features marked beta, preview, experimental, modelled, pending validation, or similar are provided for evaluation and may be incomplete or change materially.
13. Suspension and Termination
SkewFlow may suspend or terminate access if we reasonably believe you violated these Terms, misclassified your market-data status, failed to pay fees, created security or licensing risk, abused the Service, or if suspension is required by a data provider, exchange, court, regulator, or law.
You may stop using the Service at any time. Termination does not eliminate payment obligations already incurred or provisions that by their nature should survive, including intellectual-property, data-use restrictions, disclaimers, limitation of liability, indemnification, dispute resolution, and record-retention obligations.
14. Privacy and Account/Data Requests
SkewFlow’s Privacy Policy describes how we collect, use, disclose, retain, and delete or de-identify personal information. Account deactivation, subscription cancellation, and a privacy deletion request are different actions. Certain records may be retained after account closure when required by market-data agreements, law, accounting obligations, security needs, or the establishment, exercise, or defense of legal claims.
15. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL DATA, ANALYTICS, CONTENT, AND FEATURES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” SKEWFLOW DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, TIMELINESS, COMPLETENESS, AND RESULTS.
SKEWFLOW DOES NOT WARRANT THAT DATA OR ANALYTICS WILL BE ERROR-FREE, THAT CANCELLATIONS OR CORRECTIONS WILL BE IDENTIFIED IMMEDIATELY, THAT THE SERVICE WILL BE UNINTERRUPTED, OR THAT ANY SCORE, SIGNAL, INFERENCE, MODEL, ALERT, OR HISTORICAL PATTERN WILL PREDICT FUTURE MARKET BEHAVIOR.
16. Limitation of Liability
(A) GENERAL LIMITATIONS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKEWFLOW AND ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS; LOST TRADING OPPORTUNITIES; TRADING LOSSES; LOSS OF DATA; BUSINESS INTERRUPTION; OR DAMAGES ARISING FROM MARKET MOVEMENTS, DATA ERRORS, DELAYS, OUTAGES, ALERT FAILURES, OR RELIANCE ON THE SERVICE.
(B) LIABILITY CAP. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKEWFLOW'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (I) THE AMOUNT YOU PAID TO SKEWFLOW FOR THE SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (II) ONE HUNDRED U.S. DOLLARS ($100).
(C) NEW JERSEY CONSUMER RIGHTS. IF YOU ARE A NEW JERSEY CONSUMER, THE EXCLUSIONS AND LIMITATIONS IN SUBSECTIONS (A) AND (B) DO NOT APPLY TO THE EXTENT THEY WOULD WAIVE OR LIMIT A RIGHT OR REMEDY THAT MAY NOT BE WAIVED OR LIMITED UNDER NEW JERSEY LAW. NOTHING IN THIS SECTION IS INTENDED TO LIMIT ANY RIGHT OR REMEDY AVAILABLE TO A NEW JERSEY CONSUMER UNDER APPLICABLE NEW JERSEY CONSUMER-PROTECTION LAW.
TO THE EXTENT ANY PROVISION OF THIS SECTION IS UNENFORCEABLE UNDER NEW JERSEY LAW, THAT PROVISION WILL APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY LAW, AND THE REMAINDER OF THESE TERMS WILL REMAIN IN EFFECT.
17. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless SkewFlow and its members, officers, employees, contractors, affiliates, licensors, and service providers from claims, liabilities, losses, damages, judgments, costs, and reasonable attorneys’ fees arising from your unlawful use of the Service, redistribution or misuse of licensed data, violation of these Terms, violation of a third party’s rights, or User Content you submit. This obligation does not apply to the extent a claim results from SkewFlow’s own unlawful conduct.
18. Electronic Communications
You consent to receive transactional and administrative communications electronically, including by email, in-product notice, or account message. Marketing communications are subject to applicable consent and unsubscribe requirements. Electronic records and signatures may be used to the extent permitted by law.
19. Changes to These Terms
SkewFlow may update these Terms from time to time. We will post the revised Terms, identify the version, and update the effective date. If a change is material, we will provide additional notice when reasonably required. If renewed acceptance is legally or contractually required, we may require you to accept the updated Terms before continuing to use affected features. Continued use after the effective date of an update constitutes acceptance to the extent permitted by law.
20. Governing Law
These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-laws principles, except to the extent federal law or mandatory law of your jurisdiction applies.
21. Dispute Resolution; Arbitration; Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Before filing a formal claim, you and SkewFlow agree to try in good faith for 30 days to resolve the dispute informally after written notice describing the claim and requested relief. Except for claims eligible for small-claims court and requests for temporary or injunctive relief relating to intellectual property, security, unauthorized access, or data redistribution, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable consumer or commercial rules, as appropriate. The Federal Arbitration Act governs this arbitration provision. YOU AND SKEWFLOW AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION, TO THE EXTENT PERMITTED BY LAW. You may opt out of this arbitration provision by sending written notice to legal@skewflow.com or by mail to SkewFlow LLC, 971 US Highway 202N, #7781, Branchburg, NJ 08876, United States within 30 days after you first accept these Terms. Your notice must include your name, account email, and an unambiguous statement that you opt out of arbitration. Opting out will not affect your account or subscription. If this arbitration provision is found unenforceable as to a particular claim, that claim will be heard exclusively in the state or federal courts located in New Jersey, and you and SkewFlow consent to personal jurisdiction and venue there, except where applicable law requires otherwise.
22. General Terms
These Terms, the Privacy Policy, applicable subscriber agreements, and any additional terms expressly incorporated into them constitute the agreement between you and SkewFlow regarding the Service. If any provision is unenforceable, the remaining provisions remain in effect. SkewFlow’s failure to enforce a provision is not a waiver. You may not assign these Terms without SkewFlow’s consent; SkewFlow may assign them in connection with a merger, financing, reorganization, sale of assets, or by operation of law. Headings are for convenience only.
